Términos de servicio para Software y Servicios de BuyButton.App
Acuerdo
Este Acuerdo (“Acuerdo”) es por y entre “Buybutton.app” y Usted, Sus herederos, agentes, sucesores, y cesionarios (“el Cliente”), y se hace efectivo a partir de la fecha de Ejecución electrónica. Este Acuerdo establece los términos y condiciones de su uso del software y los servicios de Buybutton.app (Servicios) y explica las obligaciones de Buybutton.app con el Cliente y sus obligaciones con Buybutton.app en relación con el Software y Servicios que compra. La suscripción de uso es parte de los servicios que Buybutton.app ofrece y están alcanzados por este Acuerdo. Este Acuerdo, así como cualquier política adicional de Buybutton.app, junto con todas sus modificaciones, constituyen el acuerdo completo y exclusivo entre el Cliente y Buybutton.app con respecto al uso de Software y Servicios de Buybutton.app y remplaza y gobierna todas las propuestas, acuerdos u otras comunicaciones anteriores. Todas las políticas y acuerdos de Buybutton.app específicos de determinados Software y Servicios se incorporan aquí y forman parte de este Acuerdo. Al adquirir el uso del Software o los Servicios de Buybutton.app, el Cliente reconoce que ha leído, comprendido y acepta estar obligado por todos los términos y condiciones de este Acuerdo y cualquier otra política o acuerdo que se haga parte de este Contrato por referencia, así como cualquier O términos, condiciones o políticas adicionales que Buybutton.app pueda establecer de vez en cuando, y cualquier acuerdo que Buybutton.app esté actualmente vinculado o que esté obligado en el futuro. Además de las transacciones realizadas por el Cliente en su nombre, el Cliente también acepta estar sujeto a los términos de este Contrato para las transacciones realizadas en su nombre por cualquier persona que actúe como Su Agente y las transacciones realizadas por cualquier persona que use la cuenta, Hemos establecido con Buybutton.app, independientemente de que las transacciones estuvieran o no en su nombre. BuyButton.app usa otros dominios como mibuybutton.com y podrás usar otros dominio para proveer servicios a los usuarios.

1. Provisión de servicios
1.1. Término del acuerdo; modificaciones: El Cliente acepta que Buybutton.app puede modificar este Acuerdo y los Servicios de vez en cuando. El Cliente acepta estar sujeto a cualquier cambio que Buybutton.app pueda razonablemente hacer a este Acuerdo cuando se realicen dichos cambios. Si ha adquirido Servicios o Software de Buybutton.app, el término de este Acuerdo continuará en pleno vigor y efecto siempre y cuando el Cliente aproveche y use el Software o los Servicios. En caso de que termine su uso, Buybutton.app no reembolsará ninguna cantidad que haya pagado. El Cliente acepta que el Cliente será responsable de notificar a Buybutton.app si el Cliente desea terminar su uso de los Servicios de Buybutton.app. La cancelación de su suscripción a Buybutton.app debe ser realizada por el titular de la cuenta, mandando un correo a la dirección soporte@Buybutton.app.
1.2. Consola de Administración: Buybutton.app proveerá servicios al Cliente. Como parte de la recepción de los servicios, el Cliente tendrá acceso a la “Consola de Administración”, a través de la cual el Cliente podrá administrar su tienda online, procesamiento de datos en lotes, cargas masivas, así como el resto de funcionalidades que tenga activas.
1.3. Interface para extensión de funcionalidad (API): Buybutton.app proveerá una documentación así como acceso a la API de Buybutton.app que habilitará al Cliente para que tenga la capacidad de extender la funcionalidad de Buybutton.app con componentes externos escritos por el Cliente.
1.4. Cuenta y Tokens: Para tener acceso a la Consola de Administración así como a la interface para extensión de funcionalidad (API) Buybutton.app le permitirá al Cliente generar una cuenta con la cual podrá identificarse de forma única como usuario de Buybutton.app y podrá generar sus Tokens para conectar sistemas externos. El Cliente será responsable de la seguridad de la contraseña y los Tokens de la cuenta así como de cualquier uso de la cuenta y de esos Tokens.
1.5. Nuevas funcionalidades y servicios: Buybutton.app puede: (i) hacer nuevas aplicaciones, herramientas, o habilitar funcionalidades según considere adecuado en los servicios de Buybutton.app, (ii) agregar nuevos servicios a la definición de “Servicios de Buybutton.app”, el uso de los cuales podrá afectar este Acuerdo o términos adicionales.
1.6. Privacidad: La Política de Privacidad proporciona sus derechos y las responsabilidades de Buybutton.app con respecto a su información personal. Buybutton.app a no utilizará su información de ninguna manera inconsistente con los propósitos y limitaciones proporcionados en la Política de Privacidad.
1.7 Soporte técnico
1.7.1. Esfuerzo del Cliente en arreglar errores; Solicitud de Soporte: Antes de hacer una solicitud a Buybutton.app, el cliente se compromete a usar esfuerzos razonables para arreglar cualquier error, mala configuración, o defecto de conectividad sin escalarlo a Buybutton.app. Seguido de esos esfuerzos, el Cliente que cuente con una suscripción activa podrá hacer una solicitud de soporte creando un ticket dentro de la aplicación de Buybutton.app o mandando un correo a info@buybutton.app
1.7.2. Aceptación de la solicitud; Respuesta inicial; Resolución: Buybutton.app puede responder a una solicitud al aceptar la solicitud del Cliente. El Cliente reconoce y entiende que Buybutton.app puede no responder, proveer respuestas, o resolver todas las solicitudes. Buybutton.app procesará las solicitudes durante las horas de operación y los tiempos de respuesta estarán basados en el Nivel de Soporte al que el Cliente decidió suscribirse.
Una vez que Buybutton brinde una solución y respuesta acerca de una solicitud de soporte por parte del cliente, se contabilizarán 3 días corridos y, en el caso de no tener respuesta del cliente, se asumirá la solicitud como concluida; en caso de que, pasado dicho tiempo, el cliente vuelva sobre la solicitud, se deberá comenzar nuevamente el proceso solicitudes.
1.7.3. Niveles de Soporte: Buybutton.app ofrece 3 niveles de soporte: Soporte a cuentas Starter, soporte a cuentas Básicas, soporte a cuenta Premium y soporte a cuentas Empresariales. El Soporte a cuentas Starter está limitado al material web así como las guías de ayuda y/o materiales publicados a través de los portales en línea de Buybutton.app, así como generar solicitudes de soporte que tendrán la última prioridad. El Soporte a cuentas Básicas tiene prioridad sobre el soporte de nivel Starter en cuanto se atenderán antes que las solicitudes Starter e incluye también el acceso a los materiales y documentación que posee la cuenta Starter. El Soporte a cuentas Premiun tiene prioridad a las cuentas Básicas y el soporte a las cuentas Empresariales constituye la máxima prioridad de las solicitudes atendidas
1.8. Servicios Profesionales: Dependiendo del tipo, alcance, y duración de cualquier servicio profesional adicional solicitado (ejemplo: implementación, configuración, migración de datos, desarrollo de software, ampliación de funcionalidad, modificación de integración, u otras formas de asistencia técnica), pueden aplicar costos adicionales.
1.9. Deprecación de servicios: Buybutton.app puede descontinuar una parte de los servicios o una porción por cualquier razón en cualquier momento sin ninguna responsabilidad con el Cliente. Buybutton.app comunicará directamente al Cliente si intenta descontinuar o hacer cambios que no podrán ser compatibles hacia atrás, a los servicios actuales. Buybutton.app usará esfuerzos razonables comercialmente para continuar operando estos servicios.

2. Obligaciones del Cliente
2.1. Información precisa: El Cliente acepta mantener información precisa al proporcionarla y al actualizarla a Buybutton.app, según sea necesario, mientras está utilizando los servicios de Buybutton.app. El Cliente acepta que notificará a Buybutton.app dentro de cinco (5) días hábiles frente a cualquier cambio de la información que el Cliente proporcionó como parte del proceso de solicitud y / o registro. El incumplimiento por parte del Cliente, por cualquier razón, de responder dentro de cinco (5) días hábiles a cualquier consulta hecha por Buybutton.app para determinar la validez de la información proporcionada por el Cliente constituirá un incumplimiento material de este Acuerdo. El Cliente acepta que Buybutton.app puede usar y confiar en cualquier información proporcionada por el Cliente para todos los propósitos relacionados con sus servicios, sujeto a la Política de Privacidad de Buybutton.app. Si el Cliente proporciona cualquier información inexacta, no actual, falsa, engañosa o incompleta, o si Buybutton.app tiene motivos razonables para sospechar que su información es inexacta, no actual, falsa, engañosa o incompleta, Buybutton.app tiene el derecho absoluto, en su exclusiva Discreción, para terminar sus Servicios y cerrar las cuenta de El Cliente.
2.2. Cumplimiento con sistemas externos: El Cliente acepta que es totalmente de su responsable de cumplir con los acuerdos de sistemas externos como Marketplaces, ERPs, o cualquier otro sistema externo que se conecte. El Cliente deberá cumplir con las políticas que cada sistema externo establezca tales como licenciamiento, uso adecuado de los sistemas externos, cargas de datos acorde a las prácticas exigidas por los sistemas externos, respeto a los derechos sobre el contenido e imágenes que busca gestionar, y cualquier otro término que solicite el sistema externo.
2.3. Componentes de terceros o extensiones de funcionalidad: Componentes de terceros (que pueden incluir software de código abierto) que interactúen con Buybutton.app ya sea para extender su funcionalidad vía API o cualquier otro fin, serán sujetos a su propio acuerdo de licenciamiento. Tal acuerdo del tercero gobierna el uso que el Cliente da del componente tercero.
2.4. Documentación: Buybutton.app puede proveer documentación para uso de los servicios por parte del Cliente. La documentación puede especificar restricciones de cómo debe usarse la plataforma o cómo debe extenderse su funcionalidad, y el cliente acepta cumplir con tales restricciones.
2.5. Derechos de autor: Buybutton.app provee la plataforma para que el Cliente que tenga derechos sobre el contenido pueda sincronizar su contenido en línea, pero Buybutton.app no puede determinar si ese contenido se está usando legalmente o no sin su expresa información. Buybutton.app responde a avisos de presuntas infracciones de derechos de autor suspendiendo las cuentas de infractores de acuerdo a las leyes de derechos de autor. Si el cliente piensa que alguien está violando los derechos de autor y quiere notificar a Buybutton.app, el cliente puede hacer su solicitud mandando un correo a soporte@Buybutton.app
2.6. Seguridad de la cuenta: El Cliente acepta que es totalmente responsable de mantener la confidencialidad de sus credenciales de cliente / login, contraseña, número de tarjeta de crédito (colectivamente, la “Información de acceso a la cuenta”). El Cliente acepta que es totalmente responsable de todas y cada una de las actividades que se produzcan en su cuenta. El Cliente acepta notificar a Buybutton.app inmediatamente de cualquier uso no autorizado de su cuenta o cualquier otro incumplimiento de seguridad. El Cliente acepta que Buybutton.app no será responsable de ninguna pérdida que el Cliente pueda incurrir como resultado de que alguien más use su Información de Acceso a la Cuenta, con o sin su conocimiento. El Cliente acepta además que podría ser considerado responsable de las pérdidas incurridas por Buybutton.app u otra parte debido a otra persona que utiliza la información de acceso a su cuenta. Por razones de seguridad, debe mantener la información de acceso a la cuenta en un lugar seguro y tomar precauciones para evitar que otros puedan tener acceso a la información de acceso a su cuenta. El Cliente acepta que el Cliente será responsable de toda actividad en su cuenta, ya sea iniciada por el Cliente, o por otros en su nombre, o por cualquier otro medio. Buybutton.app expresamente declina toda responsabilidad por cualquier actividad en su cuenta, ya sea autorizada por el Cliente o no.

3. Uso del software y servicios de Buybutton.app
3.1. Licencia: Buybutton.app le otorga una licencia limitada, no exclusiva, intransferible y no asignable para usar el software para los fines que sean comunes y habituales. El Cliente acepta no realizar ingeniería inversa, descompilar o intentar descubrir el código fuente. Buybutton.app se reserva todos los derechos sobre el Software. El Software es propiedad intelectual de Buybutton.app. El código fuente y su organización son propiedad exclusiva de Buybutton.app y el Software está protegido por derechos de autor, incluyendo la Ley de Derechos de Autor de Uruguay. Salvo lo expresamente previsto en esta sección, este Acuerdo no le otorga ningún derecho sobre el Software y todos los derechos son reservados por Buybutton.app. Buybutton.app proporciona este Software como es, sin garantía de ningún tipo, ya sea expresa o implícita, incluyendo pero no limitado a las garantías implícitas o condiciones de comerciabilidad o aptitud para un propósito particular. Buybutton.app no se hace responsable de ningún problema de facturación que surja de una gestión incorrecta o conflictos con los canales donde los publiqueo exponga. El Cliente es responsable de la previa visualización de sus productos antes de enviarlos a cualquier canal incluyendo a los motores de comparación de compras, marketplaces, o cualquier otro sistema externo y administrar sus ofertas publicitarias.
3.2. Conducta ilegal o uso incorrecto (suspensiones): Como condición de su uso del Software y Servicios de Buybutton.app, el Cliente acepta no usarlos para ningún propósito que sea ilegal o prohibido por estos términos y condiciones, y el Cliente acepta cumplir con las leyes locales, estatales, federales e internacionales aplicables, Reglas o requisitos. El Cliente acepta que no tendrá derecho a un reembolso de los honorarios pagados a Buybutton.app si, por cualquier motivo, Buybutton.app toma medidas correctivas con respecto a su uso indebido o ilegal de sus Servicios. Buybutton.app se reserva siempre el derecho de revelar cualquier información que Buybutton.app considere necesaria para satisfacer cualquier ley aplicable, regulación, proceso legal o solicitud gubernamental, o para editar, rechazar publicar o eliminar cualquier información o materiales, total o parcialmente, En la sola discreción de Buybutton.app. Si ha adquirido Servicios, Buybutton.app no tiene obligación de supervisar su uso de los Servicios. Buybutton.app se reserva el derecho de revisar su uso de los Servicios y cancelar los Servicios a su sola discreción. Buybutton.app se reserva el derecho de cancelar los Servicios si uso de los Servicios resulta en, o es el tema de, acciones legales o acciones legales amenazadas contra Buybutton.app o cualquiera de sus afiliados o socios, sin considerar si tal acción legal o acción legal amenazada es finalmente determinado a ser con o sin mérito. Las actividades moralmente objetables incluirán, pero no se limitarán a: actividades diseñadas para difamar, avergonzar, dañar, abusar, amenazar, calumniar o hostigar a terceros; Actividades prohibidas por las leyes de los Estados Unidos y / o territorios extranjeros en los que el Cliente realiza negocios; Actividades destinadas a fomentar la conducta ilícita de terceros, como delitos de odio, terrorismo y pornografía infantil; Actividades tortuosas, vulgares, obscenas, invasoras de la intimidad de un tercero, racistas, étnicas o de cualquier otra forma objetables; Actividades diseñadas para suplantar la identidad de un tercero; Acceso ilegal a otros ordenadores o redes (es decir, hacking); Distribución de virus de Internet o actividades destructivas similares; Y actividades diseñadas para dañar o usar a menores de edad éticamente de cualquier manera. En caso de que Buybutton.app elimine sus Servicios porque están siendo utilizados en asociación con spam o actividades moralmente objetables, no se emitirá ningún reembolso. El Cliente acepta que no tendrá derecho a un reembolso de los honorarios pagados a Buybutton.app si, por cualquier motivo, Buybutton.app toma medidas correctivas con respecto a su uso indebido o ilegal de sus Servicios.
3.3. Propiedad Intelectual: El Cliente acepta que Buybutton.app o su licenciante tiene todos los derechos, títulos e intereses en todos los Software y Servicios y toda propiedad intelectual, incluyendo otros derechos relacionados con propiedad intangible, a menos que se indique lo contrario. El Cliente reconoce que ningún título o interés en dichos Derechos de Propiedad Intelectual está siendo transferido al Cliente y el Cliente acepta no hacer reclamación de interés en dichos Servicios o Software. El Cliente entiende y acepta que todos los contenidos y materiales contenidos en este Acuerdo, otras políticas, el sitio Web Buybutton.app y cualquier sitio web afiliado, están protegidos por las leyes de derechos de autor, patentes, marcas registradas, marcas de servicio y secretos comerciales de Uruguay, Así como cualesquiera otros derechos y leyes de propiedad aplicables, y que Buybutton.app o su licenciante se reserven expresamente sus derechos en y sobre todo dicho contenido y materiales. Además, entiende y acepta que está prohibido utilizar de cualquier manera cualquiera de los contenidos o materiales descritos anteriormente sin el permiso expreso por escrito de Buybutton.app o su licenciante. Ninguna licencia o derecho bajo cualquier derecho de autor, patente, marca registrada, marca de servicio u otro derecho o licencia de propiedad se le otorga al Cliente o le es conferido por este Acuerdo o de otra manera.

4. Términos de Pago
4.1. Pago en línea (de los planes disponibles): Para las cuentas que pertenezcan al nivel de servicio Plan Starter, Plan Básico, Plan Premium, Plan Enterprice, add on , o que hayan contratado Servicios Profesionales, Para acceder al resumen con todos los cargos aplicables del periodo o periodos de los cuales haya contratado los servicios podrá verlo en “mi Cuenta” del menú de usuario o solicitándolo a soporte@Buybutton.app
4.3. Responsabilidad de Pago: Como contraprestación por el Software o los Servicios adquiridos por el Cliente y proporcionados al Cliente por Buybutton.app, el Cliente acepta pagar a Buybutton.app en el momento de la orden. Todas las cuotas son pagaderas inmediatamente y no son reembolsables, a menos que se indique expresamente lo contrario, incluso si sus servicios se suspenden, terminan o se transfieren antes del final del período de los servicios. Después del pago inicial de la suscripción, el Cliente acepta que la tarjeta de crédito que el Cliente proporcionó se cobrará mensualmente, en base al nivel de suscripción. Buybutton.app se reserva expresamente el derecho de modificar los precios mediante notificación por correo electrónico y / o notificación en su sitio Web. El pago debe ser hecho por el Cliente proporcionando una tarjeta de crédito válida. Si por alguna razón Buybutton.app no puede cargar su método de pago por el monto total adeudado a Buybutton.app por los servicios proporcionados, o si Buybutton.app le cobra una multa por cualquier cargo que haya cargado previamente a su método de pago, el Cliente acepta que Buybutton.app puede buscar todos los recursos disponibles con el fin de obtener el pago. Si por alguna razón Buybutton.app no puede cargar su tarjeta de crédito con la cantidad total de los servicios proporcionados, o si Buybutton.app se cobra de nuevo por cualquier cargo que previamente cargó a la tarjeta de crédito que el Cliente proporcionó, el Cliente acepta que Buybutton.app puede buscar todos los recursos disponibles para obtener el pago. El Cliente acepta que entre los remedios que Buybutton.app puede perseguir con el fin de efectuar el pago, incluirá, pero no se limitará a, la cancelación inmediata sin previo aviso al Cliente de los Servicios registrados o renovados en su nombre. Buybutton.app se reserva el derecho de cobrar una tarifa administrativa razonable por tareas administrativas fuera del alcance de sus Servicios regulares, incluyendo los costos adicionales que pueda incurrir en proveer los Servicios y pasarle al Cliente. Estos incluyen, pero no se limitan a, problemas de servicio al cliente que no pueden ser manejados por correo electrónico pero requieren servicio personal, cargos incurridos por terceros que ha elegido utilizar como métodos de pago y disputas que requieren servicios legales. Estos cargos se facturarán al Método de Pago que tenemos en el archivo para el Cliente. El Cliente puede cambiar su método de pago en cualquier momento ingresando a su cuenta. El Cliente acepta que el Cliente es el único responsable de que sus Servicios sean renovados y que Buybutton.app no será responsable ante el Cliente o cualquier tercero si no puede cobrar su Método de Pago para renovar sus Servicios.
4.4. Impuestos: El Cliente es responsable de cualquier impuesto y el Cliente pagará a Buybutton.app por los servicios sin ninguna reducción de impuestos.
4.5. Suspensión: Si el Cliente se retrasa en pagos de los servicios, Buybutton.app puede suspender la cuenta y los servicios proporcionados y terminar el Acuerdo por incumplimiento.
4.6 Reembolso: Si no está satisfecho con los Servicios de Buybutton.app sujetos a un Cargo por un compromiso de período de servicio o suscripción y el cual es su compra inicial de dicho servicio, usted puede darnos un aviso de cancelación por cualquier razón dentro de los catorce (14) días siguientes a la fecha en que ha ordenado o activado por primera vez tales Servicios de Buybutton.app (el “Reembolso” y el “Período de Reembolso”). El Reembolso sólo es aplicable a la compra inicial de los servicios de Buybutton.app, la cual es algunos de los siguientes: Plan Starter, Plan Básico, Plan Premium, Plan Enterprises, (como se ofrece en la Página Web de Buybutton.app). El Reembolso no es aplicable a las compras adicionales, actualizaciones, modificaciones, add on, Servicios Profesionales o renovaciones de los Servicios de Buybutton.app. Si usted reside en una jurisdicción que requiere un Período de Reembolso más largo, por supuesto estaremos encantados de acoger tales requisitos, de conformidad con todas las leyes aplicables. Si Buybutton.app recibe dicha notificación dentro del Período de Reembolso, le reembolsará la cantidad que realmente le cobró por los Servicios de Buybutton.app, en la moneda que se le cobró originalmente, y los cancelará por consiguiente. Tenga en cuenta que la cantidad de Reembolso puede ser diferente de la cantidad que se le cobró debido a las variaciones de la tasa de cambio y honorarios de terceros. Buybutton.app no será responsable de cualquier diferencia causada por la variación de los tipos de cambio ni las tasas que fueron cobradas por terceros. Después del Período de Reembolso, las Tarifas pagadas por usted son no reembolsables y no cancelables. Además, si encontramos que se ha dado un aviso de cancelación de mala fe o en un intento ilegítimo de evitar el pago por los servicios realmente recibidos y disfrutados, nos reservamos el derecho a todavía cobrar al Usuario que envió dicha notificación por los Servicios de Buybutton.app realmente recibidos, en la medida permitida por la ley.
Por favor, tenga en cuenta que: Algunos de los servicios comprados en o a través de los Servicios de Buybutton.app pueden no ser reembolsables. Estos incluyen los Servicios de Terceros tales como dominios, herramientas de negocios y aplicaciones. Los términos de cada aplicación o servicio adquirido se indican en el Sitio Web de Buybutton.app o como parte de o durante el proceso de compra de dichos servicios o aplicaciones. Es su obligación verificar la capacidad de cancelar un servicio antes de adquirirlo. Buybutton.app no reembolsará las cantidades pagadas por Servicios de Pago, aplicaciones o servicios de terceros no reembolsables.

5. Representaciones y garantías
El Cliente, o los individuos que ejecutan electrónicamente este Acuerdo en nombre del Cliente por la presente, representan y garantizan que tienen el derecho, el poder, la capacidad legal y la autoridad apropiada para celebrar este Acuerdo, y que ellos mismos no han transferido a otra persona o Cualquiera de los derechos, reclamaciones o intereses que son objeto de este Acuerdo. El Cliente declara y garantiza que tiene 18 años de edad o más, o que es un agente autorizado por ley para representarlo al Cliente, que tiene 18 años de edad o más y que está celebrando este Acuerdo en su nombre. El Cliente garantiza que cada acción que el Cliente realiza se hace de buena fe y que el Cliente no tiene conocimiento de que infrinja o contradiga los derechos legales de un tercero o la marca registrada o el nombre comercial de un tercero. Buybutton.app se reserva expresamente el derecho de negar, cancelar o transferir cualquier servicio que considere necesario, a su discreción, para proteger la integridad y estabilidad del servicio, para cumplir con cualquier ley aplicable, reglas o requisitos gubernamentales, Cumplimiento de cualquier proceso de resolución de disputas, o para evitar cualquier responsabilidad, civil o criminal, por parte de Buybutton.app, así como sus afiliados, subsidiarias, funcionarios, directores y empleados.

6. Limitación de la responsabilidad

10. Acuerdo completo

11. Divisibilidad
El Cliente acepta que los términos de este Acuerdo son separables. Si alguna parte de este Acuerdo se determina que no es aplicable o no es válida, esa parte del acuerdo será interpretada de acuerdo con la ley aplicable lo más cercanamente posible, de acuerdo con la intención original de ambas partes del Acuerdo. Los restantes términos y condiciones del Acuerdo permanecerán en pleno vigor y efecto.

12. Renuncia

13. Fuerza Mayor

Cuenta: Representa el espacio de almacenamiento y la capacidad de procesamiento dentro de la plataforma Buybutton.app dedicado de forma única al Cliente que no comparte información o interacción con otros espacios de otros Clientes de Buybutton.app. Se puede manipular este espacio y consumir dicho procesamiento por medio de la Consola de Administración o el API de Buybutton.app.
Token: Una cadena de caracteres que cifra la conexión con un sistema externo. La conectividad con sistemas externos de clientes amerita la generación de tokens para la coordinación así como para asegurar que no se consulte o modifique información de dicho sistema sin tener los permisos adecuados.
Conexión: Representa la referencia a un sistema externo o el enlace entre Buybutton.app y dicho sistema externo. De cada conexión se desprenden configuraciones, reglas, y la identificación de qué información está en qué lugar en un momento determinado, así como de qué proceso interactúa con la información de un determinado sistema externo en un momento dado.

Agreement
This Agreement ("Agreement") is between "Buybutton.app" and You, Your heirs, agents, successors, and assigns ("Client"), and is effective as of the date of electronic execution. This Agreement sets forth the terms and conditions of your use of Buybutton.app's software and services (Services) and explains Buybutton.app's obligations to the Client and the Client's obligations to Buybutton.app with respect to the Software and Services you purchase. The subscription for use is part of the services that Buybutton.app offers and is covered by this Agreement. This Agreement, as well as any additional policies of Buybutton.app, along with all modifications, constitute the entire and exclusive agreement between the Client and Buybutton.app with respect to the use of Buybutton.app's Software and Services, and supersedes and governs all prior proposals, agreements or other communications. All Buybutton.app-specific policies and agreements for certain Software and Services are incorporated herein and form part of this Agreement. By acquiring the use of Buybutton.app's Software or Services, the Client acknowledges that they have read, understood, and agreed to be bound by all the terms and conditions of this Agreement and any other policy or agreement that is made part of this Agreement by reference, as well as any additional terms, conditions, or policies that Buybutton.app may establish from time to time, and any agreement that Buybutton.app is currently bound by or obligated to in the future. Provision of services
1.1. Term of agreement; modifications: The Client agrees that Buybutton.app may modify this Agreement and the Services from time to time. If you have purchased Services or Software from Buybutton.app, the term of this Agreement will continue in full force and effect for as long as the Client uses and utilizes the Software or Services. In the event that the Client terminates their use, Buybutton.app will not refund any amounts paid. The Client agrees that they will be responsible for notifying Buybutton.app if they wish to terminate their use of Buybutton.app's Services. Cancellation of your subscription to Buybutton.app must be performed by the account holder, by sending an email to the address support@Buybutton.app.
1.2. Management Console: Buybutton.app will provide services to the Client. As part of receiving the services, the Client will have access to the "Management Console," through which the Client can manage their online store, batch data processing, bulk uploads, as well as other functionalities that they have activated.
1.3. Interface for Functionality Extension (API): Buybutton.app will provide documentation as well as access to the Buybutton.app API that will enable the Client to extend Buybutton.app's functionality with external components written by the Client.
1.4. Account and Tokens: To access the Management Console as well as the Interface for Functionality Extension (API), Buybutton.app will allow the Client to generate an account with which they can uniquely identify themselves as a user of Buybutton.app and generate their Tokens to connect external systems. The Client will be responsible for the security of the account password and Tokens as well as for any use of the account and those Tokens.
1.5. New features and services: Buybutton.app may: (i) create new applications, tools, or enable functionalities as it deems appropriate in the Buybutton.app services, (ii) add new services to the definition of "Buybutton.app Services," the use of which may affect this Agreement or additional terms.
1.6. Privacy: The Privacy Policy provides your rights and Buybutton.app's responsibilities regarding your personal information. Buybutton.app will not use your information in any manner inconsistent with the purposes and limitations provided in the Privacy Policy.
1.7 Technical Support
1.7.1. Customer Effort to Fix Errors; Support Request: Before making a request to Buybutton.app, the customer agrees to make reasonable efforts to fix any errors, misconfigurations, or connectivity issues without escalating them to Buybutton.app. Following those efforts, customers with an active subscription may make a support request by creating a ticket within the Buybutton.app application or by sending an email to info@buybutton.app.
1.7.2. Acceptance of the Request; Initial Response; Resolution: Buybutton.app may respond to a request by accepting the customer's request. The customer acknowledges and understands that Buybutton.app may not respond, provide answers, or resolve all requests. Buybutton.app will process requests during business hours, and response times will be based on the Support Level to which the customer subscribed.
Once Buybutton provides a solution and response regarding a customer's support request, a period of 3 consecutive days will be counted, and if there is no response from the customer, the request will be assumed concluded. If, after that time, the customer reopens the request, the process must be started again.
1.7.3. Support Levels: Buybutton.app offers 3 support levels: Starter Account Support, Basic Account Support, Premium Account Support, and Enterprise Account Support. Starter Account Support is limited to web material, as well as help guides and/or materials published through Buybutton.app's online portals, as well as generating support requests that will have the lowest priority. Basic Account Support has priority over Starter level support, as they will be attended to before Starter requests and also include access to the materials and documentation available in the Starter account. Premium Account Support has priority over Basic Account Support, and Enterprise Account Support constitutes the highest priority for attended requests.
1.8. Professional Services: Depending on the type, scope, and duration of any additional professional service requested (e.g., implementation, configuration, data migration, software development, functionality expansion, integration modification, or other forms of technical assistance), additional costs may apply.
1.9. Deprecation of Services: Buybutton.app may discontinue a portion of the services or a whole for any reason at any time without any liability to the customer. Buybutton.app will directly communicate with the customer if it intends to discontinue or make changes that may not be backward-compatible to the current services. Buybutton.app will make commercially reasonable efforts to continue operating these services.

2. Customer Obligations
2.1. Accurate Information: The Customer agrees to maintain accurate information when providing it to Buybutton.app and to update it as necessary while using Buybutton.app services. The Customer agrees to notify Buybutton.app within five (5) business days of any changes to the information provided by the Customer as part of the application and/or registration process. The Customer's failure, for any reason, to respond within five (5) business days to any inquiry made by Buybutton.app to determine the validity of the information provided by the Customer shall constitute a material breach of this Agreement. The Customer agrees that Buybutton.app may use and rely on any information provided by the Customer for all purposes related to its services, subject to Buybutton.app's Privacy Policy. If the Customer provides any inaccurate, outdated, false, misleading, or incomplete information, or if Buybutton.app has reasonable grounds to suspect that the Customer's information is inaccurate, outdated, false, misleading, or incomplete, Buybutton.app has the absolute right, in its sole discretion, to terminate its services and close the Customer's account.
2.2. Compliance with External Systems: The Customer acknowledges that it is solely responsible for complying with agreements related to external systems such as marketplaces, ERPs, or any other connected external system. The Customer must comply with the policies established by each external system, such as licensing, proper use of the external systems, data uploads according to the practices required by the external systems, respect for rights regarding the content and images being managed, and any other terms requested by the external system.
2.3. Third-Party Components or Functionality Extensions: Third-party components (which may include open-source software) that interact with Buybutton.app, whether to extend its functionality via APIs or for any other purpose, shall be subject to their own licensing agreement. Such third-party agreement governs the Customer's use of the third-party component.
2.4. Documentation: Buybutton.app may provide documentation for the Customer's use of the services. The documentation may specify restrictions on how the platform should be used or how its functionality should be extended, and the Customer agrees to comply with such restrictions.
2.5. Copyright: Buybutton.app provides the platform for Customers who hold rights to content to synchronize their content online, but Buybutton.app cannot determine whether that content is being used legally or not without explicit information. Buybutton.app responds to notices of alleged copyright infringement by suspending the accounts of infringers in accordance with copyright laws. If the Customer believes that someone is infringing on copyright and wants to notify Buybutton.app, the Customer can make their request by sending an email to support@buybutton.app.
2.6. Account Security: The Customer agrees that they are solely responsible for maintaining the confidentiality of their client/login credentials, password, credit card number (collectively, "Account Access Information"). The Customer agrees that they are fully responsible for all activities that occur in their account. The Customer agrees to notify Buybutton.app immediately of any unauthorized use of their account or any other security breach. The Customer agrees that Buybutton.app shall not be liable for any loss that the Customer may incur as a result of someone else using their Account Access Information, with or without their knowledge. The Customer further agrees that they may be held liable for losses incurred by Buybutton.app or another party due to someone else using the account access information. For security reasons, the Customer must keep the account access information in a secure place and take precautions to prevent others from accessing their account information. The Customer agrees that they will be responsible for all activity in their account, whether initiated by the Customer, by others on their behalf, or by any other means. Buybutton.app expressly disclaims any responsibility for any activity in the Customer.

3. Use of Buybutton.app Software and Services
3.1. License: Buybutton.app grants you a limited, non-exclusive, non-transferable, and non-assignable license to use the software for common and customary purposes. The Customer agrees not to reverse engineer, decompile, or attempt to discover the source code. Buybutton.app reserves all rights to the Software. The Software is the intellectual property of Buybutton.app. The source code and its organization are the exclusive property of Buybutton.app, and the Software is protected by copyright, including the Copyright Law of Uruguay. Except as expressly provided in this section, this Agreement does not grant you any rights to the Software, and all rights are reserved by Buybutton.app. Buybutton.app provides this Software as is, without warranty of any kind, whether express or implied, including but not limited to implied warranties or conditions of merchantability or fitness for a particular purpose. Buybutton.app is not responsible for any billing issues arising from incorrect management or conflicts with the channels where you publish or display your products. The Customer is responsible for previewing their products before submitting them to any channel, including comparison shopping engines, marketplaces, or any other external system, and managing their advertising offers.
3.2. Illegal or Improper Use (Suspensions): As a condition of your use of Buybutton.app's Software and Services, the Customer agrees not to use them for any purpose that is illegal or prohibited by these terms and conditions, and the Customer agrees to comply with applicable local, state, federal, and international laws, rules, or requirements. The Customer acknowledges that they are not entitled to a refund of fees paid to Buybutton.app if, for any reason, Buybutton.app takes corrective action regarding their misuse or illegal use of its Services. Buybutton.app always reserves the right to disclose any information that it deems necessary to satisfy any applicable law, regulation, legal process, or government request, or to edit, refuse to post, or remove any information or materials, in whole or in part, at Buybutton.app's sole discretion. If you have purchased Services, Buybutton.app has no obligation to monitor your use of the Services. Buybutton.app reserves the right to review your use of the Services and to cancel the Services at its sole discretion. Buybutton.app reserves the right to cancel the Services if your use of the Services results in, or is the subject of, legal action or threatened legal action against Buybutton.app or any of its affiliates or partners, regardless of whether such legal action or threatened legal action is ultimately determined to be with or without merit. Except as set forth below, Buybutton.app may also cancel your use of the Services, after thirty (30) days, if you are using the Services as determined by Buybutton.app in its sole discretion, in association with spam or morally objectionable activities. Morally objectionable activities shall include, but not be limited to: activities designed to defame, embarrass, harm, abuse, threaten, slander, or harass third parties; activities prohibited by the laws of the United States and/or foreign territories in which the Customer conducts business; activities intended to encourage unlawful conduct by third parties, such as hate crimes, terrorism, and child pornography; tortious, vulgar, obscene, invasive of a third party's privacy, racist, ethnic, or otherwise objectionable activities; activities designed to impersonate a third party's identity; unauthorized access to other computers or networks (i.e., hacking); distribution of Internet viruses or similar destructive activities; and activities designed to harm or ethically use minors in any way. In the event that Buybutton.app removes your Services because they are being used in association with spam or morally objectionable activities, no refund will be issued. The Customer agrees that they are not entitled.

4. Payment Terms
4.1. Online Payment (for available plans): For accounts belonging to the Plan Starter, Basic Plan, Premium Plan, Enterprise Plan, add-ons, or those who have contracted Professional Services, to access the summary of all applicable charges for the period or periods for which you have contracted the services, you can view it in "My Account" in the user menu or request it at soporte@Buybutton.app.
4.3. Payment Liability: As consideration for the Software or Services purchased by the Customer and provided to the Customer by Buybutton.app, the Customer agrees to pay Buybutton.app at the time of the order. All fees are immediately payable and non-refundable unless expressly stated otherwise, even if your services are suspended, terminated, or transferred before the end of the service period. After the initial subscription payment, the Customer agrees that the credit card provided by the Customer will be charged monthly, based on the subscription level. Buybutton.app expressly reserves the right to modify prices by email notification and/or notification on its website. Payment must be made by the Customer by providing a valid credit card. If for any reason Buybutton.app cannot charge your payment method for the total amount owed to Buybutton.app for the services provided, or if Buybutton.app charges you a penalty for any charge that was previously charged to your payment method, the Customer agrees that Buybutton.app may pursue all available remedies in order to obtain payment. If for any reason Buybutton.app cannot charge your credit card for the full amount of the services provided, or if Buybutton.app is charged back for any charge previously charged to the credit card provided by the Customer, the Customer agrees that Buybutton.app may pursue all available remedies to obtain payment. The Customer agrees that among the remedies that Buybutton.app may pursue in order to effect payment, it will include, but not be limited to, immediate cancellation without prior notice to the Customer of registered or renewed Services on their behalf. Buybutton.app reserves the right to charge a reasonable administrative fee for administrative tasks outside the scope of its regular services, including additional costs that it may incur in providing the services and passing them on to the Customer. These may include, but are not limited to, customer service issues that cannot be handled by email but require personal service, fees incurred by third parties that you have chosen to use as payment methods, and disputes requiring legal services. These charges will be billed to the Payment Method we have on file for the Customer. The Customer can change their payment method at any time by logging into their account. The Customer agrees that the Customer is solely responsible for ensuring that their Services are renewed and that Buybutton.app will not be liable to the Customer or any third party if it is unable to charge their Payment Method to renew their Services.
4.4. Taxes: The Customer is responsible for any taxes, and the Customer will pay Buybutton.app for the services without any tax deduction.
4.5. Suspension: If the Customer is late in payments for the services, Buybutton.app may suspend the account and the services provided and terminate the Agreement for default.
4.6. Refund: If you are not satisfied with the Services of Buybutton.app subject to a Fee for a service period or subscription commitment, which is your initial purchase of such Buybutton.app service, you may give us a cancellation notice for any reason within fourteen (14) days from the date you ordered or first activated such Buybutton.app Services (the "Refund" and the "Refund Period"). The Refund is only applicable to the initial purchase of Buybutton.app services, which includes the following: Plan Starter, Basic Plan, Premium Plan, Enterprise Plan (as offered on the Buybutton.app Website). The Refund does not apply to additional purchases, upgrades.

5. Representations and Warranties
The Client, or the individuals electronically executing this Agreement on behalf of the Client hereby represent and warrant that they have the right, power, legal capacity, and appropriate authority to enter into this Agreement, and that they have not transferred to any other person or entity any rights, claims, or interests that are the subject of this Agreement. The Client represents and warrants that they are 18 years of age or older, or that they are an authorized agent under the law to represent the Client, who is 18 years of age or older, and entering into this Agreement on their behalf. The Client warrants that every action taken by the Client is done in good faith and that the Client has no knowledge that it infringes upon or contradicts the legal rights of a third party or the trademark or trade name of a third party. Buybutton.app expressly reserves the right to deny, cancel, or transfer any service it deems necessary, at its discretion, to protect the integrity and stability of the service, to comply with any applicable law, rules or government requirements, compliance with any dispute resolution process, or to avoid any liability, civil or criminal, by Buybutton.app, as well as its affiliates, subsidiaries, officers, directors, and employees.

6. Limitation of Liability
In no event shall Buybutton.app be liable to the Client or any other person for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits or earnings, for any matter, whether such liability is based on contract (including negligence), breach of warranties, express or implied, any violation of this Agreement or its incorporated agreements and policies, your inability to use the software or services, your loss of data or files, or otherwise, even if Buybutton.app has been advised of the possibility of such damages. Some states may not allow such a broad exclusion or limitation of liability for damages included herein. In such states, Buybutton.app's liability is limited to the fullest extent permitted by law. The Client agrees that in no event shall Buybutton.app's maximum aggregate liability exceed the total amount paid by the Client for the particular Software or Service in dispute purchased from Buybutton.app.

7. Disclaimer of Warranties
Buybutton.app expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The services are provided on an "as is" and "as available" basis. Buybutton.app does not warrant that its services will meet your requirements, or that the services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Buybutton.app does not warrant or make any representations regarding the use, or the results of the use, of any of the services it provides, in terms of their accuracy, reliability, or otherwise.

8. Indemnification
The Client agrees to defend, indemnify, and hold harmless Buybutton.app and its contractors, agents, employees, officers, directors, shareholders, and affiliates from any loss, liability, damages, or expenses, including reasonable attorney's fees, arising out of any claim, action, proceeding, or demand relating to you (including your affiliates, agents, or anyone using your account, software, or services with Buybutton.app, whether or not on your behalf, and with or without your permission) use of the Software or Services purchased from Buybutton.app, or your breach of this Agreement or the incorporated agreements and policies. Additionally, the Client agrees to indemnify and hold harmless Buybutton.app from any loss, liability, damages, or expenses, including reasonable attorney's fees, arising out of any breach of any representation or warranty provided herein, negligence

9. Applicable Law; Waiver of Jury Trial
This agreement shall be deemed to be entered into in Uruguay. The Client agrees that the laws and judicial decisions of Montevideo, Uruguay, shall be used to determine the validity, construction, interpretation, and legal effect of this Agreement. The Client agrees that any action related to or arising from this Agreement shall be brought before the courts of Montevideo, Uruguay. The Client agrees to waive the right to a jury trial in any proceeding arising out of or related to this Agreement.
10. Entire Agreement
The Client agrees that this Agreement, including the referenced policies and agreements (i.e., our Privacy Policy, etc.), constitutes the entire and sole agreement between the Client and Buybutton.app regarding the Services described herein.
11. Severability
The Client agrees that the terms of this Agreement are severable. If any part of this Agreement is determined to be inapplicable or invalid, that part of the agreement shall be interpreted to the fullest extent permitted by applicable law, in accordance with the original intent of both parties to the Agreement. The remaining terms and conditions of the Agreement shall remain in full force and effect.
12. Waiver
Buybutton.app's failure to enforce any provisions of this Agreement or its incorporated agreements and policies against the Client or others shall not be construed as a waiver of Buybutton.app's right to enforce such provisions thereafter.
13. Force Majeure
Buybutton.app will make every effort to keep its website and Services operational. However, certain technical difficulties and other factors beyond its control may occasionally result in temporary service interruptions. The Client agrees not to hold Buybutton.app liable for any consequences of such interruptions.
14. No Third-Party Beneficiaries
Nothing in this Agreement, express or implied, is intended to confer any rights, remedies, obligations, or liabilities on third parties under or pursuant to this Agreement, except as expressly provided in this Agreement.
15. Definitions
ERP: Enterprise Resource Planning system, an information system that allows businesses to manage their production and distribution operations of goods and services.
Marketplace: A category of e-commerce website where the product or service is listed by multiple third parties, and where a single operator of the site processes all transactions.
External Systems: An information system that exists outside of Buybutton.app and is desired to be connected to another information system through the Buybutton.app platform.
Administration Console: A web panel where Buybutton.app account administrators can manage, monitor, move their information between platforms, or consume other Buybutton.app services.
API: Application Programming Interface, a set of subroutines, functions, procedures, or methods that allow other software to interact programmatically with Buybutton.app without the need for direct client interaction.
Account: Represents the storage space and processing capacity within the Buybutton.app platform dedicated uniquely to the Client, which does not share information or interaction with other spaces of other Buybutton.app Clients. This space can be manipulated and processing can be consumed through the Administration Console or Buybutton.app API.
Token: A string of characters that encrypts the connection to an external system. Connectivity with external client systems requires the generation of tokens for coordination, as well as to ensure that information from that system is not accessed or modified without proper permissions.
Connection: Represents the reference to an external system or the link between Buybutton.app and said external system. Each connection entails configurations, rules, and the identification of which information is in which place at a given time, as well as which process interacts with the information of a specific external system at a given moment.
